These Terms & Conditions (“Terms”) govern access to and use of The Harlot Pages (“Platform”, “we”, “us”, “our”) by any individual user who creates an account, purchases services, uploads content, advertises, communicates through, or otherwise uses the Platform.

By creating an account, purchasing services, or using the Platform, you agree to be bound by these Terms.

  1. Platform Nature & Role

The Harlot Pages is an online advertising, directory, and promotional platform.

We provide digital listing space, profile tools, messaging tools, promotional placements, and related online services only.

We do not:

  • employ, engage, supervise, or manage users;
  • act as an agent, broker, introducer, or representative;
  • arrange in-person services;
  • guarantee enquiries, traffic, bookings, income, rankings, or outcomes;
  • verify every listing or every statement made by users;
  • control the conduct of users or third parties.

All users operate independently and at their own risk.

  1. Eligibility & User Warranties

By creating an account or using the Platform, you warrant and represent that:

  • you are 18 years of age or older;
  • you are legally entitled to reside and/or work in New Zealand where required;
  • you have legal capacity to enter binding agreements;
  • all information supplied by you is true, current, complete, and accurate;
  • your use of the Platform is lawful;
  • any content uploaded is owned by you or used with lawful authority.

We may request verification of age, identity, authority, or eligibility at any time.

  1. Account Security

You are responsible for:

  • maintaining the confidentiality of login credentials;
  • all activity occurring under your account;
  • promptly updating inaccurate information;
  • notifying us of unauthorised access.

We may suspend accounts where security concerns arise.

  1. Sole Responsibility of User

You are solely responsible for:

  • your listing content and profile information;
  • pricing, representations, and claims made by you;
  • communications with users or third parties;
  • services you provide;
  • tax, ACC, immigration, licensing, business, and regulatory obligations;
  • compliance with all applicable laws;
  • disputes arising from your conduct or activities.

We are not responsible for user conduct, meetings, transactions, or third-party actions.

  1. Listings & User Content

You may upload text, images, videos, pricing, descriptions, contact details, and related material (“Content”).

You warrant that your Content:

  • is accurate and not misleading;
  • does not infringe copyright, trademark, privacy, or other rights;
  • does not contain unlawful, deceptive, abusive, threatening, or prohibited material;
  • does not depict, reference, or involve any person under 18 years of age;
  • complies with applicable New Zealand law.

You grant us a non-exclusive, worldwide, royalty-free licence to host, reproduce, resize, cache, display, distribute, and use Content for operating, improving, and promoting the Platform.

We may edit, crop, moderate, refuse, restrict, or remove Content at our discretion.

  1. Prohibited Use

You must not use the Platform for:

  • unlawful conduct;
  • underage content or references to minors;
  • trafficking, coercion, exploitation, violence, or abuse;
  • false or misleading advertising;
  • impersonation or identity fraud;
  • harassment, stalking, threats, hate speech, or extortion;
  • spam, scams, or fraudulent behaviour;
  • scraping, bots, malware, hacking, or attacks;
  • copyright infringement;
  • any conduct exposing us to legal, operational, or reputational risk.

We may take immediate action, including suspension or reporting where appropriate.

  1. Messaging, Reviews & Interactive Features

Where messaging, favourites, reviews, ratings, analytics, or other interactive tools are offered:

  • availability is not guaranteed;
  • we do not guarantee authenticity of all submissions;
  • we may moderate, remove, disable, or restrict features at any time;
  • users interact entirely at their own risk.

We are not liable for disputes, scams, abuse, meetings, or communications between users.

  1. Pricing, Billing & Subscriptions

Where paid listings, subscriptions, featured placements, boosts, or promotional services are offered:

  • all prices are in New Zealand Dollars (NZD) unless stated otherwise;
  • recurring plans may renew automatically until cancelled;
  • by purchasing a recurring plan, you authorise ongoing charges;
  • you must maintain valid payment details;
  • failed payments may result in suspension, downgrade, or removal of paid features.

We may amend future pricing on reasonable notice.

  1. Cancellation of Paid Plans

Recurring paid plans may be cancelled at any time before the next scheduled billing date.

Unless otherwise stated:

  • cancellation prevents future renewals only;
  • the current paid period continues until expiry;
  • no partial, unused-period, or pro-rata refunds apply, except where required by law.

You are responsible for cancelling before renewal if you do not wish to continue.

  1. Featured Placements & Promotional Products

Featured listings, homepage banners, boosts, spotlight placements, priority rankings, and similar promotional products are time-sensitive advertising services.

Once activated, scheduled, published, or commenced:

  • purchases are generally non-refundable;
  • dates, timing, or placement may be adjusted where reasonably necessary;
  • no guarantee is given of clicks, visibility, enquiries, bookings, or revenue.

Where a material platform fault prevents delivery, we may offer a replacement, extension, credit, or refund at our discretion.

  1. Free Accounts, Inactive Profiles & Removal

Free accounts may be closed at any time.

We may remove, archive, restrict, or delete inactive, incomplete, duplicate, misleading, abandoned, or non-compliant profiles.

Users may request account closure. We may retain records reasonably necessary for accounting, fraud prevention, dispute resolution, enforcement, or legal compliance.

  1. Suspension & Termination

We may suspend, restrict, or terminate any account, listing, feature, or access immediately where reasonably necessary, including for:

  • breach of these Terms;
  • complaints or legal claims;
  • safety concerns;
  • false information;
  • non-payment;
  • misuse of the Platform;
  • reputational or operational risk.

No refund is payable where suspension results from user breach, except where required by law.

  1. Privacy

We handle personal information in accordance with our Privacy Policy and applicable New Zealand law.

You acknowledge that information voluntarily published in listings may become publicly visible.

  1. Intellectual Property

All Platform branding, systems, databases, software, design, text, logos, and proprietary materials remain our property or that of our licensors.

You must not copy, scrape, republish, reproduce, reverse engineer, or commercially exploit Platform materials without written consent.

  1. Disclaimers

To the maximum extent permitted by law, the Platform is provided on an “as is” and “as available” basis.

We do not guarantee:

  • uninterrupted access;
  • error-free operation;
  • compatibility with all devices;
  • security free from all threats;
  • ranking position;
  • commercial success;
  • enquiries, bookings, or income.
  1. Limitation of Liability

To the maximum extent permitted by New Zealand law:

  • we exclude liability for indirect, incidental, consequential, punitive, exemplary, or special loss;
  • we are not liable for lost profits, lost bookings, lost data, reputational damage, business interruption, or third-party conduct;
  • where we are found liable to you for any claim arising from or connected with the Platform, our total aggregate liability shall not exceed the greater of:

(a) the total fees paid by you to us in the three (3) months immediately preceding the event giving rise to the claim; or
(b) NZD $250.

Nothing in these Terms excludes rights or remedies that cannot lawfully be excluded.

  1. Indemnity

You indemnify and hold harmless The Harlot Pages, its owners, contractors, affiliates, and representatives from all claims, complaints, liabilities, losses, damages, penalties, costs, and legal expenses arising from:

  • your listing;
  • your Content;
  • your conduct;
  • your breach of these Terms;
  • your breach of law;
  • disputes involving you and third parties.
  1. Force Majeure

We are not liable for delay, interruption, or failure caused by events beyond our reasonable control, including outages, cyber incidents, payment processor failure, natural disasters, strikes, or government action.

  1. Changes to Terms or Services

We may amend these Terms, features, pricing, categories, design, or services at any time.

Updated Terms take effect when published. Continued use of the Platform constitutes acceptance.

  1. Governing Law

These Terms are governed by the laws of New Zealand.

Any dispute shall be subject to the non-exclusive jurisdiction of New Zealand courts.
