These Terms & Conditions (“Terms”) govern access to and use of The Harlot Pages (“Platform”, “we”, “us”, “our”) by any agency, business, company, partnership, manager, studio, collective, or person creating or operating multiple profiles, managing listings for others, purchasing advertising, or otherwise using the Platform in a commercial capacity (“Agency”, “you”, “your”).

By creating an account, purchasing services, managing listings, or using the Platform, you agree to be bound by these Terms.

  1. Platform Nature & Role

The Harlot Pages is an online advertising, directory, and promotional platform.

We provide digital listing space, profile tools, messaging tools, analytics features, promotional placements, and related online services only.

We do not:

  • employ workers advertised by agencies;
  • recruit or supply staff;
  • supervise agencies or workers;
  • verify every listing or statement made by agencies;
  • manage bookings, payroll, rosters, employment relationships, or contractor arrangements;
  • guarantee enquiries, traffic, bookings, income, rankings, or outcomes.

All agencies and listed persons operate independently and at their own risk.

  1. Authority to Contract

You warrant and represent that:

  • you are authorised to create and operate this account;
  • you have authority to bind the agency/business to these Terms;
  • all information supplied is true, current, complete, and accurate;
  • your use of the Platform is lawful.

Where an individual creates an account on behalf of a business, both the individual and business may be responsible for obligations under these Terms.

  1. Adult Status, Right to Work & Consent

You warrant and represent that every person advertised, managed, or listed through your account:

  • is 18 years of age or older;
  • has lawfully consented to be listed;
  • is legally entitled to work in New Zealand where required;
  • is participating voluntarily;
  • has authorised use of their name, likeness, images, pricing, and profile content.

You must not list any person without informed consent.

  1. Verification & Record Keeping

You must maintain accurate and current records reasonably sufficient to verify:

  • identity;
  • age;
  • right to work where applicable;
  • consent to listing;
  • authority to use uploaded content.

We may request evidence or verification at any time. Failure to provide requested information may result in suspension or termination.

  1. Sole Responsibility of Agency

You are solely responsible for:

  • all listings under your account;
  • communications sent through your account;
  • pricing, claims, and representations;
  • rostering, staffing, contractor arrangements, wages, commissions, and payments;
  • employment, contractor, tax, ACC, immigration, privacy, health and safety, and regulatory compliance;
  • conduct of persons acting under your account;
  • disputes involving your agency, workers, clients, or third parties.

We are not responsible for agency operations or worker conduct.

  1. Listings & Content

You may upload text, images, videos, pricing, descriptions, contact details, branding, and related material (“Content”).

You warrant that Content:

  • is accurate and not misleading;
  • does not infringe copyright, privacy, trademark, or other rights;
  • does not contain unlawful, deceptive, abusive, threatening, or prohibited material;
  • does not depict or reference any person under 18;
  • complies with New Zealand law.

You grant us a non-exclusive, worldwide, royalty-free licence to host, reproduce, resize, cache, display, distribute, and use Content for operating, improving, and promoting the Platform.

We may moderate, refuse, edit, restrict, or remove Content at our discretion.

  1. Prohibited Use

You must not use the Platform for:

  • unlawful conduct;
  • trafficking, coercion, exploitation, violence, or abuse;
  • deceptive recruitment;
  • false advertising;
  • underage content or references to minors;
  • impersonation or identity fraud;
  • harassment, threats, stalking, extortion, or hate speech;
  • spam, scams, or fraudulent conduct;
  • scraping, bots, malware, hacking, or attacks;
  • any conduct exposing us to legal, operational, or reputational risk.

We may take immediate action including suspension and reporting where appropriate.

  1. Messaging, Reviews & Interactive Features

Where messaging, favourites, reviews, ratings, analytics, or similar features are offered:

  • availability is not guaranteed;
  • we do not guarantee authenticity of all submissions;
  • we may moderate, disable, remove, or restrict features at any time;
  • users and agencies interact at their own risk.

We are not liable for disputes, scams, abuse, meetings, or communications between agencies, workers, or users.

  1. Pricing, Billing & Subscriptions

Where paid listings, subscriptions, featured placements, boosts, multi-profile plans, or promotional services are offered:

  • all prices are in New Zealand Dollars (NZD) unless stated otherwise;
  • recurring plans may renew automatically until cancelled;
  • by purchasing a recurring plan, you authorise ongoing charges;
  • you must maintain valid payment details;
  • failed payments may result in downgrade, suspension, or removal of paid features.

We may amend future pricing on reasonable notice.

  1. Cancellation of Paid Plans

Recurring plans may be cancelled at any time before the next scheduled billing date.

Unless otherwise stated:

  • cancellation prevents future renewals only;
  • the current paid period continues until expiry;
  • no partial, unused-period, or pro-rata refunds apply, except where required by law.

You are responsible for cancelling before renewal.

  1. Featured Placements & Promotional Products

Featured listings, homepage banners, boosts, spotlight placements, priority rankings, and similar advertising products are time-sensitive services.

Once activated, scheduled, published, or commenced:

  • purchases are generally non-refundable;
  • dates, timing, or placement may be adjusted where reasonably necessary;
  • no guarantee is given of clicks, visibility, enquiries, bookings, or revenue.

Where a material platform fault prevents delivery, we may offer a replacement, extension, credit, or refund at our discretion.

  1. Suspension & Termination

We may suspend, restrict, or terminate any account, listing, feature, or access immediately where reasonably necessary, including for:

  • breach of these Terms;
  • complaints or legal claims;
  • safety concerns;
  • false information;
  • failure to verify age/right to work/consent;
  • non-payment;
  • misuse of the Platform;
  • reputational or operational risk.

No refund is payable where suspension results from your breach, except where required by law.

  1. Privacy & Data Responsibility

We handle personal information in accordance with our Privacy Policy and applicable New Zealand law.

You are independently responsible for lawful collection, use, storage, and disclosure of any personal information relating to workers, clients, or third parties that you handle.

  1. Intellectual Property

All Platform branding, systems, databases, software, design, text, logos, and proprietary materials remain our property or that of our licensors.

You must not copy, scrape, republish, reproduce, reverse engineer, or commercially exploit Platform materials without written consent.

  1. Disclaimers

To the maximum extent permitted by law, the Platform is provided on an “as is” and “as available” basis.

We do not guarantee:

  • uninterrupted access;
  • error-free operation;
  • compatibility with all systems;
  • ranking position;
  • commercial success;
  • enquiries, bookings, or revenue.
  1. Limitation of Liability

To the maximum extent permitted by New Zealand law:

  • we exclude liability for indirect, incidental, consequential, punitive, exemplary, or special loss;
  • we are not liable for lost profits, lost bookings, lost data, reputational damage, business interruption, worker disputes, or third-party conduct;
  • where we are found liable to you for any claim arising from or connected with the Platform, our total aggregate liability shall not exceed the greater of:

(a) the total fees paid by you to us in the three (3) months immediately preceding the event giving rise to the claim; or
(b) NZD $500.

Nothing in these Terms excludes rights or remedies that cannot lawfully be excluded.

  1. Indemnity

You indemnify and hold harmless The Harlot Pages, its owners, contractors, affiliates, and representatives from all claims, complaints, liabilities, losses, damages, penalties, costs, and legal expenses arising from:

  • your listings;
  • your Content;
  • your workers or contractors;
  • your conduct;
  • your breach of these Terms;
  • your breach of law;
  • disputes involving your agency, workers, clients, or third parties.
  1. Force Majeure

We are not liable for delay, interruption, or failure caused by events beyond our reasonable control, including outages, cyber incidents, payment processor failure, natural disasters, strikes, or government action.

  1. Changes to Terms or Services

We may amend these Terms, features, pricing, categories, design, or services at any time.

Updated Terms take effect when published. Continued use of the Platform constitutes acceptance.

  1. Governing Law

These Terms are governed by the laws of New Zealand.

Any dispute shall be subject to the non-exclusive jurisdiction of New Zealand courts.
